Amgen Chairman/CEO Kevin Sharer, Retired Deloitte Chairman/CEO J. Michael Cook Join Northrop Grumman Board of Directors

LOS ANGELES -- Dec. 16, 2003 -- Northrop Grumman Corporation (NYSE: NOC) today announced the addition of two members to its board of directors. Kevin Sharer, chairman of the board and chief executive officer of Amgen Inc., and J. Michael Cook, retired chairman and chief executive officer of Deloitte & Touche, LLP, were elected today to Northrop Grumman's board. The company's board now totals 13 members, 11 of whom are non-employee directors.

Sharer, 55, was named chief executive officer of Amgen, the world's largest biotechnology company, in 2000 and chairman of the board in 2001. He joined Amgen in 1992 as president, chief operating officer and member of the board of directors. Under Sharer's guidance, the company has grown considerably, completing biotech's largest acquisition, launching new products, building its customer base, and adding thousands of employees. Before joining Amgen, Sharer was executive vice president and president of the Business Markets division at MCI Communications. Prior to working with MCI, he served in a variety of executive roles at General Electric and was a consultant for McKinsey & Company.

Sharer earned a bachelor's degree in aeronautical engineering from the U.S. Naval Academy and a master's degree in aeronautical engineering from the U.S. Naval Postgraduate School. He also earned a master's degree in business administration from the University of Pittsburgh. Sharer served on two nuclear attack submarines following graduation from the U.S. Naval Academy.

Sharer serves on the board of directors for 3M, UNOCAL and the U.S. Naval Academy Foundation. He is chairman of the board of trustees of the Los Angeles County Museum of Natural History and a member of The Business Council.

He will serve on Northrop Grumman's compensation and management-development, and finance committees.

As former chairman and CEO of Deloitte & Touche, LLP, Cook, 61, directed the 1989 global merger of Deloitte Haskins & Sells and Touche Ross. On his watch, the professional services company consistently was recognized for its commitment to its employees; it ranked among the top ten on Fortune's 100 Best Companies to Work For in America. Cook has had no affiliation with Deloitte & Touche since his retirement in 1999.

A member of the Accounting Hall of Fame, Cook is a leader in the profession, having served as chairman of several professional organizations, including the American Institute of Certified Public Accountants and the World Congress of Accountants. In addition to his leadership positions in the accounting profession, Cook currently is chairman of the GAO Accountability Advisory Panel, which provides guidance to the Comptroller General of the United States and other GAO executives; is a former member of the Center for Strategic & International Studies board of trustees; and was a member of the National Association of Corporate Directors' Blue Ribbon Commission on Corporate Governance. He serves on the boards of The Dow Chemical Company, International Flavors & Fragrances, and Comcast Corp. He is also a trustee of the Fidelity Group of Mutual Funds. Cook has been actively involved with several universities and civic organizations, and was named the University of Florida's distinguished alumnus in 1986.

Cook will serve on Northrop Grumman's audit and compliance, public issues, and policy committees.
