MARK R. GOLDSTON is the Chairman, President and Chief Executive Officer of United Online. Prior to the formation of United Online, from March 1999 until September 2001, Mr. Goldston served as Chairman, President and CEO of NetZero, the company that merged with Juno Online Services to form United Online. Prior to joining NetZero, Mr. Goldston was Chairman and Chief Executive Officer of The Goldston Group, a strategic advisory firm, from December 1997 to March 1999. From April 1996 to December 1997, he was President, Chief Executive Officer and a director of Einstein/Noah Bagel Corp. after founding and serving his initial term with The Goldston Group from June 1994 to April 1996. Mr. Goldston also served as President and Chief Operating Officer of L.A. Gear from September 1991 to June 1994 and as a principal of Odyssey Partners, L.P., a private equity/LBO firm, from September 1989 to September 1991. Before joining Odyssey Partners, L.P., Mr. Goldston held various executive positions including Chief Marketing Officer of Reebok, President of Faberge USA, Inc. and Vice President of Marketing Worldwide for fragrance and skincare at Revlon, Inc. Mr. Goldston is the author of The Turnaround Prescription, a highly-regarded business book published in 1992 and is the named inventor on 13 separate U.S. patents on products such as inflatable pump athletic shoes and lighted footwear. Mr. Goldston received his B.S.B.A. in Marketing and Finance from Ohio State University and his M.B.A. (M.M.) from the J.L. Kellogg School at Northwestern University. He serves on the Dean's Advisory Board of the J.L. Kellogg School, the Dean's Advisory Board of the Ohio State University Fisher School of Business and the Cedars-Sinai Hospital Board of Governors in Los Angeles.


JEREMY HELFAND is Executive Vice President and Chief Sales Officer of United Online. He is responsible for the United Online Media Group, which sells advertising and partnerships via NetZero, Juno, Bluelight, Classmates, PhotoSite, Freeservers and Names Database. His oversight includes direct and agency sales, wholesale sales, advertising operations and inventory management and planning functions. Previously, he served as senior vice president and general manager of Advertising.com, a division of American Online, Inc. that provides interactive-marketing services. During his tenure at Advertising.com, Helfand served on the executive committee charged with the strategic vision that eventually led to the company's $497-million acquisition by AOL/Time Warner. In five years at Advertising.com, Helfand implemented revenue strategies, incentive and training programs that contributed to more than a six-fold increase in revenue, along with the doubling in the size of the company's sales force. Prior to Advertising.com, Helfand was a manager at Arthur Anderson, LLP where he oversaw a suite of high-profile clients including Blue Cross Blue Shield and London Fog. A certified public accountant, Helfand received his Bachelor of Business Administration from Loyola College and a M.B.A pending from Johns Hopkins University.




PAUL E. JORDAN serves as Executive Vice President and Chief Personnel Officer, responsible for human resources operations and initiatives worldwide, as well as facilities/real estate. Mr. Jordan joined NetZero as Vice President of Human Resources in July 1999 and served as Senior Vice President and Chief Personnel Officer from September 2001 through March 2007. Prior to joining NetZero, Mr. Jordan was with Fremont General Corporation, a financial services holding company, from 1996-1999. In his last assignment he served as Vice President of Human Resources for Fremont Financial Corporation, a subsidiary of Fremont General Corporation. From 1990-1996, Mr. Jordan served as Corporate Director of Compensation & HRIS at FHP International Corporation, a multi-state, publicly traded HMO, with revenues in excess of $4 billion. Mr. Jordan has over 20 years of experience in Human Resources, serving in a variety of human resource positions in diverse industries including financial services, healthcare, radiopharmaceutical, restaurant and hospitality.

Mr. Jordan holds a bachelor's degree in organizational communications from Brigham Young University.




GERALD J. POPEK is Executive Vice President and Chief Technology Officer of United Online. Prior to joining NetZero and United Online, Mr. Popek was Chief Technology Officer at CarsDirect.com and Chief Technology Officer at PLATINUM Technology, Inc. He is a member of the Defense Science Board, which selected the technology base for the U.S. Department of Defense that became the Internet. Mr. Popek has a B.S. in Nuclear Engineering, with honors, from New York University and a Ph.D. in Applied Mathematics from Harvard University.











FREDERIC A. RANDALL, JR. has served as Executive Vice President and General Counsel since March 1999. Mr. Randall was appointed secretary in May 1999. Prior to joining NetZero, Mr. Randall was a partner at Brobeck, Phleger & Harrison LLP from January 1991, and an associate from 1984 to December 1990. Mr. Randall received his B.A. in English literature with distinction from the University of Michigan and his J.D., cum laude, from the University of San Francisco School of Law.












Scott H. Ray is Executive Vice President and Chief Financial Officer of United Online. He is responsible for its finance, accounting, investor relations, and corporate development functions, including mergers and acquisitions. Prior to joining United Online, Mr. Ray was chief financial officer for ValueClick, Inc., where he managed the company's global finance, accounting, human resources, and facilities functions. Prior to ValueClick, Mr. Ray served as chief financial officer for a variety of public technology and financial services companies including OpenTV Corp., Silicon Valley Bancshares and Bay View Capital Corporation. During his career, he has also worked for Coopers LLP & Lybrand and Price Waterhouse LLP.

Mr. Ray is a certified public accountant and a certified forensic accountant with a bachelor's degree in accounting, with honors, from Arizona State University.







ROBERT TARAGAN is Executive Vice President of Operations and General Manager of CyberTarget, United Online's market research division. He is responsible for building and managing NetZero's online marketing research business as well as directing all internal research functions. In addition, Mr. Taragan has management responsibility for NetZero's Customer Relationship Management organization. Prior to joining NetZero, Mr. Taragan spent 21 years at Nielsen Media Research, holding various management positions including Executive Vice President of Marketing and General Manager of local services. His responsibilities included all aspects of producing the famous Nielsen TV ratings in all television markets across the country. Highlights during his tenure at Nielsen Media Research included the implementation and rollout of the People Meter as a new data collection tool for its national business, managing Nielsen's local market service during its victorious competitive battle with Arbitron and the establishment of the Nielsen Sports Marketing Service, which extended Nielsen's reach to all major sports leagues in the United States. Mr. Taragan has been a featured speaker at many industry events, including the Broadcast & Cable Financial Management Executives annual conference, the Radio & Television Research Council, the Television Bureau of Advertising annual conference, the Advertising Research Foundation's Children's Workshop and the Electronic Media Workshop. In addition, he has been a guest lecturer at C.W. Post College, Baruch College and UCLA. Mr. Taragan is a graduate of Colgate University with a B.A. in Economics.


MATT WISK directs the marketing efforts for all of United Online's brands, including the company's leading value-priced Internet services NetZero and Juno Online, and Classmates.com, a leader in online social networking, as corporate Executive Vice President and Chief Marketing Officer. He brings more than 20 years of marketing experience to United Online. Mr. Wisk was named one of the "Top 100 Marketers of 1999" by Advertising Age and "Grand Marketer of the Year, 2000" by Brandweek; was awarded the Gold Effie Award for Advertising Effectiveness in 2001; and was named a Henry Crown Fellow, Class of 2002, from the Aspen Institute's Henry Crown Fellowship Program. Mr. Wisk joined United Online after serving as Senior Vice President, Chief Marketing Officer at TiVo where he directed TiVo's global marketing efforts. Before joining TiVo, Mr. Wisk was Chief Marketing Officer at Herbalife International, a $1 billion revenue nutrition products company. Prior to joining Herbalife, Mr. Wisk worked at Nokia for nine years, where he moved up through the marketing organization to become Vice President, Marketing, North and South America, providing leadership, strategic marketing vision, and broad executive management for the international marketing of its mobile phone division. At Nokia, Mr. Wisk was a key executive in the marketing team that helped establish Nokia as a global leader in wireless communications equipment. Under his leadership in both North America and Europe, Nokia grew from having single-digit brand awareness to being the most considered and preferred brand in the category. Prior to Nokia, Mr. Wisk held marketing positions for telecommunications companies, Metrocel Cellular Telephone (now part of Cingular), NEC, and GTE. He received both his M.B.A. and B.A. from Michigan State University.
